By creating an Account, browsing the site, or using the Services, you confirm you have read and agree to these Terms, are aged 18 or over (or have parental consent), have authority to enter this agreement, and that your use complies with applicable law.

 

3. Account Security

You are responsible for keeping your Account credentials secure and confidential. You must not share access with third parties, must notify us immediately of any suspected breach, and are liable for all activity on your Account. NuanceAI Ltd is not liable for losses arising from your failure to maintain security.

NuanceAI Ltd solely owns all intellectual property rights in the Services, including AI models, algorithms, software, designs, trade marks, and know-how. Nothing in these Terms transfers any IP ownership to you.

5.2 Licence

Upon payment of the applicable licence fee, NuanceAI Ltd grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your own internal purposes. No licence rights arise until payment is confirmed.

5.3 Restrictions

You must not copy, reverse engineer, sublicence, resell, or create competing products using the Services or any underlying IP. Unauthorised use is a material breach and may result in termination and legal action.

5.4 Your Content

You retain ownership of Content you submit. You grant NuanceAI Ltd a limited licence to process it solely to provide the Services, which ends when you delete the Content or close your Account.

 

6. Privacy and Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Our Privacy Policy (incorporated by reference) sets out how we collect, use, and protect your data. By using the Services, you confirm you have read and understood it.

 

7. Disclaimers and Limitations of Liability

The Services are provided "as is" without warranty of any kind. We do not guarantee uninterrupted, error-free, or accurate results. To the fullest extent permitted by law, NuanceAI Ltd is not liable for any indirect, incidental, or consequential loss. Nothing here excludes liability for death, personal injury, or fraud caused by our negligence.

 

8. Termination

We may suspend or terminate your Account at any time if we believe you have breached these Terms or applicable law. You may close your Account by contacting us. Termination does not affect rights or obligations accrued prior to that date.

 

9. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising from them.

 

10. Changes to These Terms

We may update these Terms at any time. We will give reasonable notice of material changes via our website or your registered email. Continued use of the Services after changes take effect constitutes acceptance.
